Terms of Service
Iolite Health, Inc. — Effective Date: April 23, 2025
Welcome to Iolite. We build real-time intelligence software for revenue cycle management companies — helping them detect problems earlier, act on them faster, and manage performance across their entire client portfolio. By accessing or using our platform, you agree to the terms outlined below (the "Terms"). If you do not agree, please refrain from using our services.
1. Acceptance of Terms
By using our software platform and services (collectively, the "Services"), you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
2. Privacy
Please review our Privacy Policy to understand how we collect, use, and safeguard your personal information. By using our Services, you consent to our data practices as outlined in the Privacy Policy.
3. Updates to Terms and Services
We reserve the right to update these Terms at any time. If changes are made, we will notify you through the platform or via email. Continued use of the Services after such updates indicates your acceptance of the updated Terms. We may also update or modify our Services at any time to enhance functionality or improve the user experience.
4. Eligibility and Account Responsibilities
(a) Eligibility: You must be 18 years or older to use the Services.
(b) Account Registration: To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and all activities that occur under your account.
(c) Authorized Users: If you are an organization, you may designate specific employees or contractors ("Authorized Users") to access the Services. Each Authorized User must have a unique account, and you are responsible for ensuring their compliance with these Terms.
5. Use of the Services
(a) License: Iolite grants you a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes, including the monitoring, analysis, and management of revenue cycle operations on behalf of your clients.
(b) Prohibited Conduct: You agree not to misuse the Services. Prohibited actions include but are not limited to unauthorized access, reverse engineering, data scraping, or using the Services in a manner that violates any applicable laws — including applicable healthcare privacy and data protection regulations.
(c) Feedback: We welcome your feedback and suggestions for improving the Services. By submitting feedback, you grant us the right to use it without restriction or compensation.
6. Payment Terms
(a) Subscription Fees: Access to the Services may require payment of fees, as specified in your order form or subscription plan. Fees are non-refundable except as required by law.
(b) Payment Information: You agree to provide accurate and up-to-date payment information and authorize us or our third-party payment processor to charge you according to your subscription plan.
(c) Cancellation: You may cancel your subscription at any time. Cancellation will take effect at the end of your current billing cycle. Refunds for prepaid fees will not be provided.
7. Customer Data and Protected Health Information
(a) Your Data: You retain ownership of any data you input into or connect to the platform, including claims data, remittance data, credentialing records, and any other information processed through the Services ("Customer Data"). By using the Services, you grant us a license to process Customer Data as necessary to provide the Services.
(b) Protected Health Information: To the extent that Customer Data includes protected health information ("PHI") as defined under HIPAA, the terms of our Business Associate Agreement ("BAA") will govern our use and handling of such information. If you have not executed a BAA with Iolite, please contact us before transmitting any PHI through the Services.
(c) Aggregated and De-Identified Data: We may use aggregated or de-identified data derived from Customer Data to improve the Services, develop new features, and generate industry benchmarks — provided that such data cannot reasonably be used to identify any individual or specific client.
8. Confidentiality and Data Security
(a) Confidential Information: You and Iolite agree to maintain the confidentiality of any proprietary or non-public information exchanged under these Terms. This includes, but is not limited to, Customer Data, platform configurations, pricing, and business terms.
(b) Data Security: Iolite implements industry-standard administrative, technical, and physical safeguards to protect your data. You are responsible for securing your account credentials and ensuring your Authorized Users follow security best practices.
9. Intellectual Property
(a) Ownership: Iolite retains all rights, title, and interest in and to the Services — including the platform, algorithms, models, user interface, and all related intellectual property.
(b) No Rights Granted: Nothing in these Terms grants you any right, title, or interest in the Services beyond the limited license described in Section 5(a).
10. Limitation of Liability
To the fullest extent permitted by law, Iolite shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Services. Our total liability under these Terms shall not exceed the amount you have paid us in the 12 months preceding the claim.
11. Termination
(a) Termination by You: You may terminate your use of the Services at any time.
(b) Termination by Iolite: We may suspend or terminate your access to the Services if you breach these Terms or for other reasons, including fraud, misuse, or non-payment.
(c) Post-Termination: Upon termination, your access to the Services will cease and any outstanding payments will remain due. Upon request, we will provide you with a copy of your Customer Data in a standard format within 30 days of termination, after which we will securely delete it from our systems unless retention is required by law.
12. Governing Law and Dispute Resolution
(a) Governing Law: These Terms are governed by the laws of the State of Georgia, without regard to conflict of laws principles.
(b) Arbitration: Any disputes arising under these Terms will be resolved through binding arbitration in Atlanta, Georgia, in accordance with the rules of the American Arbitration Association.
13. Miscellaneous
(a) Entire Agreement: These Terms, together with the Privacy Policy and any applicable BAA or order form, constitute the entire agreement between you and Iolite regarding the Services.
(b) Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
